These Terms of Service ("Terms") govern all use of the Milly Digital website (millydigitalenterprise.com) and any digital marketing services provided by Milly Enterprise Corp. By accessing our website, purchasing our services, or otherwise engaging with us, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use our website or services. Please read them carefully before proceeding.

3. Eligibility and Authority
To use our services, you must be at least 18 years old and legally authorized to enter into binding contracts. If you are entering into these Terms on behalf of a company, business, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms.
4. Description of Services
We provide digital marketing services designed to improve online visibility for businesses. These services may include Local SEO, Google Business Profile optimization, AI Search Optimization, website content improvements, and related consulting. All services are delivered remotely through digital channels.
5. Service Plans and Scope
The specific services provided to you are defined by the service plan you select at the time of enrollment. Deliverables are strictly limited to what is explicitly described in the applicable plan documentation provided during enrollment. Any services not listed in your plan are considered out of scope.
6. Local Visibility Starter Plan
The Local Visibility Starter Plan focuses on foundational online presence and basic optimization. This plan includes introductory audits, initial profile setup or optimization, and a limited set of monthly deliverables designed for smaller businesses seeking essential visibility.
7. Local SEO Growth Plan
The Local SEO Growth Plan provides an expanded scope of services for businesses looking to aggressively build their local presence. This includes extensive content creation, ongoing Google Business Profile management, advanced citation building, and proactive performance monitoring.
8. Custom Projects and Written Proposals
For needs that fall outside our standard service plans, we offer custom projects. Custom projects require a separate written proposal and signed agreement that detail the specific scope, timeline, deliverables, and payment terms. These Terms will apply to custom projects unless explicitly modified by the written proposal.
9. Customer Onboarding Requirements
To effectively begin our services, customers must complete our onboarding process. This includes providing accurate business information, filling out required questionnaires, and granting necessary platform access. We cannot begin work until the onboarding process is fully completed.
10. Customer Responsibilities
Customers are responsible for responding promptly to requests for information, reviewing and approving content in a timely manner, maintaining active platform access, and keeping their contact and billing information current. Delays on the customer's end may result in delays in service delivery, for which we are not responsible.
11. Accuracy of Customer-Provided Information
Customers warrant that all information provided to Milly Digital, including business details, operating hours, and service descriptions, is accurate and complete. Milly Digital is not liable for errors in our work product or published content caused by inaccurate or outdated information provided by the customer.
12. Website, Analytics and Platform Access
Customers agree to provide Milly Digital with necessary access to relevant platforms to perform the services. This may include access to the website Content Management System (CMS), Google Search Console, Google Analytics, and Google Business Profile, as required by the selected service plan.
13. Secure Access-Sharing Requirements
Customers must use platform-provided delegation methods (such as Google account manager sharing or CMS user roles) to grant access to Milly Digital. Direct sharing of passwords is strictly prohibited and releases Milly Digital from any liability related to unauthorized access or security breaches of those accounts.
14. Customer Content and Intellectual Property
Any content provided by the customer, including logos, text, images, and brand guidelines, remains the sole property of the customer. By providing this content, the customer grants Milly Digital a limited, non-exclusive license to use, modify, and publish it solely for the purpose of delivering the agreed-upon services.
15. Milly Digital Intellectual Property
Reports, templates, methodologies, proprietary tools, and strategies created or utilized by Milly Digital remain our exclusive property. However, the specific work product delivered as part of the service (e.g., written content placed on the customer's website or profiles) is transferred to the customer upon receipt of full payment for those services.
16. Third-Party Platforms
Our services involve interacting with third-party platforms such as Google, Bing, Yelp, and others. These platforms are not operated by Milly Digital, and we have no control over their terms of service, algorithms, policies, or technical changes. We are not responsible for actions taken by these platforms against a customer's account.
17. Search Engine and AI Platform Changes
Customers acknowledge that search engine algorithms, AI platforms, and online directories change frequently and without notice. These changes may positively or negatively affect the online visibility of the customer's business independently of the work performed by Milly Digital. We cannot control these external factors.
18. No Ranking Guarantees
Milly Digital does not and cannot guarantee specific search engine rankings or placement positions. Search algorithms are complex and unpredictable. No statement by any employee, representative, or marketing material of Milly Digital constitutes a guarantee of any specific ranking position or placement.
19. No Traffic, Lead, or Revenue Guarantees
While our goal is to improve your online visibility, we do not guarantee specific traffic levels, lead counts, phone calls, foot traffic, or revenue outcomes resulting from our services. Business success depends on numerous factors beyond digital marketing, including market conditions and business operations.
20. No AI Answer Placement Guarantees
We do not guarantee that a customer's business will appear in AI-generated summaries, featured snippets, generative AI overviews, or conversational platform responses. AI platform behaviors are experimental and highly volatile, and inclusion in their outputs cannot be reliably promised.
21. Service Start Date
Services officially begin after the customer has successfully completed the onboarding process, provided all required access, and the initial payment has been received and cleared. Delays in onboarding will delay the service start date.
22. Project and Subscription Timelines
Standard service plans operate as monthly recurring subscriptions that renew automatically until cancelled. Custom projects have specific timelines defined in their applicable written proposals and conclude upon delivery of the agreed-upon scope.
23. Monthly Recurring Billing
Subscription services are billed monthly in advance. The billing cycle begins on the date the subscription is activated and recurs on the same date each subsequent month. Payments must be received to ensure uninterrupted service delivery.
24. ACH Authorization
Customers who elect to pay via ACH bank transfer authorize Milly Digital's designated payment processor to initiate electronic debits from the provided checking or savings account for the agreed-upon amount each billing period.
25. Processor-Hosted Payment Collection
All payment information is collected and processed securely through a third-party, PCI-compliant processor-hosted interface. Milly Digital does not collect, process, or store raw credit card numbers or bank account numbers directly on its own servers.
26. Failed and Returned Payments
If a scheduled payment fails, is declined, or is returned for any reason, Milly Digital reserves the right to immediately pause or suspend all services until the account balance is resolved and the payment method is updated.
27. Insufficient Funds Events
Customers are entirely responsible for maintaining sufficient funds in their designated payment account. If a payment is returned due to insufficient funds, the customer remains responsible for the outstanding balance.
28. Processor or Bank Fees
Milly Digital is not responsible for any overdraft fees, over-limit fees, or other charges assessed by the customer's bank, card issuer, or payment processor in connection with transactions initiated for our services.
29. Updating Payment Information
Customers must ensure their payment information remains current. If a card expires or account details change, customers may update their payment information by contacting Milly Digital at info@millydigitalenterprise.com or 1-844-211-7111.
30. Subscription Renewals
Subscriptions renew automatically at the end of each billing period. Customers who do not wish to renew for the upcoming month must submit a cancellation request prior to their next scheduled billing date.
31. Price Changes
Milly Digital reserves the right to adjust subscription prices at our discretion. We will provide advance notice of any price changes to the customer's email address on file. Continued use of the services after the price change takes effect constitutes acceptance of the new rate.
32. Cancellation Requests
Customers may cancel their subscription at any time. To cancel, please use the cancellation form available on our website or contact us directly via email. Please retain confirmation of your cancellation request for your records.
33. Effective Cancellation Date
Cancellations submitted before the next billing date take effect at the end of the current paid billing period. You will not be billed for subsequent months, provided the request is received prior to the renewal date.
34. Service After Cancellation
Following a cancellation request, access to deliverables and services will continue through the end of the currently paid billing period. Once the paid period expires, no additional work will be scheduled or delivered.
35. Refund Policy
Fees for completed work, delivered assets, and services rendered are generally non-refundable. Because our work involves labor and expertise provided at the time of service, we cannot recover these costs once expended.
36. Previously Completed Work
Under no circumstances are payments for work completed in prior billing periods refundable, regardless of the reason for cancellation or the customer's satisfaction with ongoing services.
37. Custom Project Deposits
Deposits paid to initiate custom projects are strictly non-refundable once work has commenced on the project, unless expressly stated otherwise in the written proposal for that specific project.
38. Chargebacks and Payment Disputes
Customers agree to contact Milly Digital in good faith to resolve any billing disagreements before initiating a chargeback with their bank or card issuer. Chargebacks initiated without prior notice may result in immediate suspension of services and the customer may be liable for recovery of associated dispute fees.
39. Taxes
Milly Digital's stated prices do not include applicable local, state, or federal taxes. Customers are responsible for any sales, use, VAT, or similar taxes that may apply to their purchases of our services based on their jurisdiction.
40. Electronic Communications
By using our services, customers consent to receive service-related communications, invoices, reports, and notices electronically. Legal notices may be sent by email to the primary contact address on file and are considered delivered upon sending.
41. Confidential Information
Both parties agree to maintain the confidentiality of the other party's proprietary business information. Neither party will disclose confidential information to third parties without prior written consent, except as required by law or to service providers who are bound by similar confidentiality obligations.
42. Acceptable Use
Our services and website may only be used for lawful purposes and in connection with legitimate business activities. Customers agree not to use our services in any way that violates applicable laws or regulations.
43. Prohibited Conduct
Customers may not use Milly Digital's services to promote illegal activities, disseminate hate speech, mislead consumers, violate the terms of service of third-party platforms (such as Google guidelines), infringe upon intellectual property rights, or engage in any activity that could foreseeably harm Milly Digital's reputation.
44. Suspension of Services
Milly Digital reserves the right to suspend services immediately and without notice if a customer violates these Terms, fails to pay outstanding invoices, or engages in conduct that jeopardizes Milly Digital's standing with third-party platforms or partners.
45. Termination
Either party may terminate the service relationship at any time. Milly Digital may terminate immediately for cause, such as a breach of these Terms. Customers may terminate by following the standard cancellation process outlined in these Terms.
46. Data and Account Export
Upon request and where technically feasible, Milly Digital will provide customers with a copy of any deliverable assets created for their account prior to termination. Once an account is fully terminated, we are under no obligation to retain customer data indefinitely.
47. Disclaimer of Warranties
Services are provided on an "as is" and "as available" basis. Milly Digital expressly disclaims all warranties, express or implied, including but not limited to any implied warranty of fitness for a particular purpose, merchantability, or non-infringement. We do not warrant that services will be uninterrupted or error-free.
48. Limitation of Liability
To the maximum extent permitted by law, Milly Digital's total aggregate liability for any claims arising out of or related to these Terms or our services is limited to the total fees actually paid by the customer to Milly Digital in the three (3) months immediately preceding the event giving rise to the claim. Milly Digital shall not be liable for any indirect, consequential, special, or incidental damages, including lost profits or data.
49. Indemnification
Customers agree to indemnify, defend, and hold harmless Milly Digital, its officers, directors, employees, and agents from and against any third-party claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from their use of the services, the content they provide, or their breach of these Terms.
50. Force Majeure
Milly Digital shall not be liable for any delays or failures in performance caused by events outside its reasonable control. This includes, but is not limited to, natural disasters, acts of government, internet outages, infrastructure failures, labor strikes, or significant, unannounced actions by third-party platforms.
51. Assignment
Customers may not assign or transfer their rights or obligations under these Terms without Milly Digital's prior written consent. Milly Digital may assign these Terms without consent in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets.
52. Severability
If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision will be modified to the extent necessary to render it enforceable, and the remaining provisions of these Terms will remain in full force and effect.
53. Waiver
Milly Digital's failure to enforce any right or provision of these Terms at any given time does not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of Milly Digital to be valid.
54. Entire Agreement
These Terms, together with any applicable service plan documentation and written proposals, constitute the entire agreement between the customer and Milly Digital regarding the services, superseding all prior agreements, understandings, or representations, whether written or oral.
55. Changes to the Terms
Milly Digital reserves the right to update or modify these Terms at any time. We will notify active customers of material changes by sending an email to the address on file. Continued use of the services following the effective date of updated Terms constitutes the customer's acceptance of the changes.
56. Governing Law
These Terms and any disputes arising out of or related to them shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict-of-law principles.
57. Dispute Resolution
The parties agree to attempt informal resolution before pursuing formal proceedings. For any unresolved disputes, customers and Milly Digital agree to first attempt good-faith negotiation. Further dispute resolution provisions will be added following legal review.
